Terms & Conditions
Modifications:
No terms or conditions, other than those stated herein, and no
agreement or understanding in any way modifying the terms and
conditions herein stated shall be binding upon Purchaser unless made
in writing and signed by its Buyer.
Warranty:
Seller warrants that the articles or materials furnished hereunder
shall conform to this contract and shall be good workmanship and
quality, free of all defects and fit for the purposes for which they
are intended. Defective materials will be returned at your expense,
plus inbound freight charges if bought F.O.B. shipping point.
Patents:
Seller will indemnify, save harmless and defend Purchaser from and
against any and all suits, actions, legal proceedings, claims,
demands, damages, costs, expenses, and attorneys fees incident to
any infringement or to any claimed infringement of any patent or
patents in the manufacture and sale, or either thereof, of all
articles or materials covered by this purchase, or in any way
connected therewith or with the use thereof by Purchaser, provided,
however, that Purchaser may be represented in any such suits,
actions or legal proceedings by attorneys of its own selection at
its own expense.
Incorporation By Reference:
Any clause required to be included in a contract of this type by any
applicable and valid federal, state or local law or administrative
rule or regulation having the effect of law shall be deemed to be
incorporated herein.
Fair Labor Standard Acts:
Seller represents that the articles, materials or services furnished
hereunder will be produced, or rendered in accordance with the
applicable provisions of the Fair Labor Standards Act of 1938, as
amended.
Seller warrants the products and/or services supplied
hereunder comply with the current applicable provisions of the
Occupational Safety and Health Act of 1970. The current applicable
rules, regulations and standards issued thereunder.
Equal Employment and Contracting Opportunity Requirements:
This purchase order is subject to the provisions and requirements
set forth in Title VII of the Civil Rights Act of 1964, Executive
Orders Number 11246, 11625, and 12138 with all current implementing
regulations and amendments, and any state of Pennsylvania Laws and
Regulations regarding non-discrimination not in conflict therewith.
Seller is responsible for being familiar with and observing the
requirements of the above identified government laws and
regulations; copies of which may be obtained from Purchaser.
